The Client wishes to be provides with the Services (as defined in Section 1.1 below) by the Wedding Planner and the Wedding planner agrees to provide the Services to the Client according to the terms and conditions of the Agreement.
1.1 Services
The Wedding Planner shall provide the following services (“the Services”) to the client in accordance with the terms and conditions of this Agreement in consideration of the amount specified in Section 1.2 below (“the Fees”):

1.2 Fees
As consideration for the provision of the Services by the Wedding Planner, the total fees for the provision of the Services is __________________________ (“the Fees”).

The Client shall pay for the Wedding Planner’s out-of-pocket expenses comprising expenses if agreed.
1.3 Payment
The Client agrees to pay the Fees to the Wedding Planner on the following dates:
Within 30 days after the wedding event: Any additional services and out-of-pocket expenses or other closing charges adjustments.
The Wedding Planner shall invoice the Client for the Services and any additional services provided by the Wedding Planner to the client (monthly/at the event/after the event). The Client shall pay such invoices from the Wedding Planner (upon receipt/within 30 days of invoice date).
Any charges payable under the terms and conditions of the Agreement are exclusive of any applicable taxes and such taxes shall be payable by the Client to the Wedding Planner in addition to all other charges and fees payable hereunder.
1.4 Warranty and Limitation of Liability
The Wedding Planner represents and warrants that it will perform the Services with reasonable skill and care. In the event that the Wedding Planner is unable to attend on the rehearsal date or wedding event date, for any reason, a suitable, qualified substitute designated by the Wedding Planner will be provided.
Subject to the Client’s obligation to pay the Fees to the Wedding Planner, either Party’s liability arising directly out of its obligations under the terms and condition of this Agreement and every applicable part of it shall be limited in aggregate to the Fees.
The Wedding Planner shall not be liable for the failure to perform any obligation under this Agreement if the failure is caused by any circumstances beyond its reasonable control, including but not limited to acts of god, war, or industrial dispute. The Wedding Planner assumes no liability due to the quality of items or services purchased for and/or on behalf of the Client.
1.5 Cancellation Policy
This Agreement shall be effective on the date affixed herein by the Parties and shall continue until the completion date stated in section 1.1 (the “Services”) unless terminated before that date. If the Client terminates this agreement for any reason before the scheduled completion date, the Client will reimburse the Wedding Planner for all outstanding fees and out-of-pocket expenses.
In the event the Services to be provided by the Wedding Planner are no longer required by the Client (cancellation of the wedding) the Client agrees to pay a percentage of the total agreed fees ( as outlined in Section 1.2 Fees), as set out below:
Forfeiture of the deposit if the event is cancelled within 30 days of signing this Agreement
· 50% of the total fee payable to the Wedding Planner if the event is cancelled within 90 days of signing this contract
· 75% of the total fee payable to the Wedding Planner if the event is cancelled within 30 days of the scheduled event
All fees are due and payable within 14 days of cancellation
1.6 Miscellaneous
This Agreement constitutes the entire understanding between the Parties relating to the wedding event and supersedes all prior representations, negotiations or understandings with respect to the wedding event.
The failure of either Party to enforce its rights under this Agreement at any time for any period shall not be construed as a waiver of any such rights.
If any part, term or provision of this Agreement is held to be illegal or unenforceable neither the validity or enforceability of the remainder of this Agreement shall be affected.
This Agreement shall be governed by the laws of the jurisdiction in which the Client is located.
